These Terms of Service ("Terms") are a binding agreement between you ("you" or "Customer") and ProspectIQ ("ProspectIQ," "we," "us," or "our") governing your access to and use of the ProspectIQ website, application and related services (collectively, the "Service"). ProspectIQ serves customers located in the United States, the United Kingdom, Australia, New Zealand and elsewhere.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

ProspectIQ is a software-as-a-service platform that surfaces buying-intent signals for logistics and supply-chain sales teams and allows Customers to organize contact information and conduct email outreach to prospective business contacts. Features available to you may vary based on your subscription plan and may change from time to time as we improve the Service.

3. Eligibility and Accounts

The Service is intended for business use by individuals who are at least 18 years old and have the authority to enter into these Terms. When you register for an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Accept responsibility for all activity that occurs under your account
  • Notify us promptly of any unauthorized use of your account

4. Email Outreach and Anti-Spam Compliance

The Service may allow you to send email communications to prospective business contacts. You are solely responsible for the content, recipients, and legality of any email you send using the Service. When using the Service to send email, you agree that you will:

  • Comply with all applicable anti-spam and electronic marketing laws, including the U.S. CAN-SPAM Act, the UK Privacy and Electronic Communications Regulations (PECR) and UK GDPR, Australia's Spam Act 2003, and New Zealand's Unsolicited Electronic Messages Act 2007
  • Only contact recipients where you have a lawful basis to do so (such as legitimate business interest in a B2B context or the recipient's consent, as required by the recipient's jurisdiction)
  • Include accurate sender identification and a working, honored unsubscribe or opt-out mechanism in every message, and process opt-out requests promptly
  • Never use false or misleading header, subject line, or sender information
  • Never send messages to purchased, harvested, scraped, or otherwise unlawfully obtained contact lists
  • Promptly honor unsubscribe, deletion, and data-subject requests you receive from your recipients

We may suspend or terminate your access to outreach features if we reasonably believe you are violating this section or generating a high volume of spam complaints, bounces, or unsubscribe requests.

5. Acceptable Use

In addition to Section 4, you agree not to use the Service to:

  • Violate any applicable law or regulation
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Harvest or scrape data from the Service in violation of these Terms
  • Violate the privacy or intellectual property rights of others

6. Subscription and Payment

Some parts of the Service are offered on a paid subscription basis. By subscribing, you agree to:

  • Pay all fees described in the applicable pricing plan
  • Provide current, complete, and accurate billing information
  • Authorize recurring charges to your chosen payment method until you cancel
  • Be responsible for all charges incurred under your account

Fees are non-refundable except where required by law. We may change our prices or plans, and will give you at least 30 days' notice of any change that affects your then-current subscription.

7. Intellectual Property

Our Intellectual Property

The Service and its underlying software, design, and content are owned by ProspectIQ and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

Your Content

You retain ownership of the data and content you upload to the Service ("Customer Data"), including your contact lists. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Data solely to provide and improve the Service to you.

8. Privacy and Data Protection

Our collection and use of personal information, including personal information contained in Customer Data, is described in our Privacy Policy. Where you upload personal information about your own contacts (such as email recipients), you act as the controller of that data and are responsible for ensuring you have a lawful basis to provide it to us and to have us process it on your behalf.

9. Third-Party Services

The Service may integrate with or link to third-party services (for example, payment processing or analytics providers). We are not responsible for the content, accuracy, or practices of third-party services, which are governed by their own terms and privacy policies.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ProspectIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service. Nothing in these Terms limits any liability that cannot lawfully be limited, including liability for death, personal injury, or fraud, or any statutory consumer rights you may have under the laws of the United Kingdom, Australia, New Zealand, or your country of residence.

12. Indemnification

You agree to defend, indemnify, and hold harmless ProspectIQ and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your breach of these Terms, your Customer Data, or your use of the Service to send communications to third parties.

13. Termination

You may cancel your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, including the anti-spam obligations in Section 4. Upon termination, your right to use the Service ends immediately, though provisions that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except that nothing in this section overrides any mandatory consumer protection law of the United Kingdom, Australia, New Zealand, or your country of residence that applies to you and cannot be contractually waived.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' notice before the new Terms take effect, such as by posting a notice on the Service or updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
